Terms of Use

Zephyni is operated by Zephyni, a company registered in Uruguay (registration number: 150972020015) ("Zephyni", "we", "us"). These Terms of Use ("Terms") form a binding agreement between you and Zephyni and govern your access to and use of the Zephyni website, demo, and platform (together, the "Service").

By creating an account, entering a demo code, or otherwise using the Service, you confirm that you have read and accept these Terms. If you do not accept them, please do not use the Service.

How we handle personal data is described separately in our Privacy Policy. It is a separate document: accepting these Terms is not consent to data processing, and any consent we need is asked for on its own.

Zephyni is a professional tool that lets practitioners generate personalised audio recordings in their own voice, organise them, and share them with their clients through private links.

The Service is under active development. Features may change, be added, or be withdrawn, and parts of the Service are offered on a preview or invitation-only basis. We do not guarantee uninterrupted or error-free availability.

You must be at least 18 years old and legally able to enter into a contract to use the Service. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

• Provide accurate account details and keep them up to date.
• Keep your password and access links confidential; you are responsible for activity under your account.
• Tell us promptly at partners@zephyni.com if you suspect unauthorised access.
• Do not share, sell, or transfer your account to anyone else.

You keep all rights in the voice recordings, scripts, titles, tags, and other material you upload or create through the Service ("Your Content"). We claim no ownership of it.

You grant us a limited, non-exclusive licence to host, store, process, and transmit Your Content strictly for the purpose of operating the Service for you — for example, synthesising audio, delivering it to your device, and serving a share link to a recipient you choose. This licence ends when you delete the content or close your account.

By uploading Your Content, you confirm that:

• the voice in any recording you upload is your own, or you hold the documented, explicit consent of the person whose voice it is;
• you have the rights to any scripts, text, or other material you submit, and using it through the Service infringes no third-party rights;
• you will obtain any consent your clients' jurisdiction or your professional body requires before sharing generated audio with them.

Uploading a voice you have no right to use is a serious breach of these Terms and grounds for immediate suspension.

Audio produced through the Service is generated automatically from the voice sample and script you supply. Subject to your compliance with these Terms, you may use the audio you generate for your professional practice, including sharing it with your clients.

You are responsible for reviewing generated audio before sharing it. Automated synthesis can produce mispronunciations, artefacts, or wording you did not intend, and we do not warrant that output will be accurate, complete, or fit for any particular client.

A share link gives anyone who holds it access to that recording, without an account, until it expires or you revoke it. Treat share links as confidential and send them only to the intended recipient.

You are responsible for what you share and with whom, including for handling your clients' personal data in line with the law and your professional obligations. In relation to your clients, you act as the data controller and Zephyni acts as your processor.

Zephyni is a production tool, not a healthcare provider. The Service does not provide medical, psychological, or therapeutic advice, and generated recordings are not a substitute for professional care or emergency assistance.

You remain solely responsible for the clinical and ethical content of anything you create and share, for the suitability of a recording for a given client, and for compliance with the rules of your profession, licensing body, and jurisdiction.

You agree not to:

• impersonate any person or clone a voice without that person's explicit consent;
• create content that is unlawful, deceptive, harassing, hateful, sexually explicit, or harmful to a vulnerable person;
• use the Service to deceive, defraud, or manipulate anyone, including through synthetic audio presented as genuine;
• attempt to gain unauthorised access to the Service, other accounts, or share links you were not given;
• probe, scan, overload, or disrupt the Service or its infrastructure;
• reverse engineer, scrape, or resell the Service, or use it to build a competing product;
• circumvent usage limits, billing, or access controls, including demo code restrictions.

The Service runs on prepaid credit. You top up your balance in advance, and generating audio debits it at the per-second rate shown before you confirm a generation. Prices and rates are displayed in the application and may change; changes never apply retroactively to credit you have already spent.

• Payments are handled by third-party payment providers under their own terms; we do not store your card details.
• Credit is added once a payment settles. A payment in flight is shown as pending and cannot be spent until it completes.
• Credit has no cash value, is non-transferable, and can be used only within the Service.
• Amounts already spent on completed generations are non-refundable, since the work has been performed.
• If a generation fails through our fault, contact us at partners@zephyni.com and we will credit the amount back to your balance.
• Where consumer law gives you a statutory right to a refund, that right is unaffected by this section.

You are responsible for any taxes applicable to your use of the Service beyond those we are required to collect.

The Service itself — including the software, interface, design, branding, and the name Zephyni — belongs to us or our licensors and is protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive right to use the Service; they transfer no ownership.

If you send us feedback or suggestions, we may use them freely to improve the Service without obligation to you.

You may stop using the Service and close your account at any time by contacting us at partners@zephyni.com.

We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if your use poses a risk to other users or to the Service. Where circumstances allow, we will tell you first and give you a chance to put things right.

On termination, your right to use the Service ends and Your Content may be deleted. Sections that by their nature should survive — including content warranties, intellectual property, disclaimers, liability, and governing law — continue to apply.

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or free of errors, that generated audio will meet your expectations, or that data will never be lost. Keep your own copies of anything you cannot afford to lose.

To the fullest extent permitted by law, Zephyni will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost data, arising from or connected to your use of the Service.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.

You agree to indemnify and hold Zephyni harmless from any claim, loss, or expense (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms, or your infringement of anyone's rights — in particular claims brought by a person whose voice was used without their consent, or by a client of yours.

We may update these Terms as the Service develops or the law changes. The current version is always published on this page with its date. For material changes we will give reasonable notice, for example by email or a notice in the application. Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of Uruguay, and disputes will be subject to the exclusive jurisdiction of the courts of Uruguay. If you use the Service as a consumer, this does not deprive you of the protection of mandatory rules of the country in which you live.

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect.
